Samuel (Sandy) J. Winer, a partner and litigation lawyer with Foley & Lardner LLP, represents public companies, their board committees and auditors, investment banks, investment advisers, broker-dealers, attorneys, and others in SEC investigations and related proceedings. Mr. Winer is an experienced investigator with particular expertise leadings teams in domestic and cross-border internal investigations.  He has deep experience advising public companies on sound governance, effective compliance procedures, and appropriate internal controls. He has served as an SEC/DOJ independent monitor and an SEC independent consultant responsible for overseeing and evaluating the compliance function of companies sanctioned by the SEC, including as the Foreign Corrupt Practices Act monitor for one of the largest publicly held hedge funds in the country. Mr. Winer also counsels securities broker-dealers and investment advisers on compliance and has represented numerous securities broker-dealers and investment advisers in SEC investigations. A former member of his firm’s Management Committee and author of numerous articles and a treatise on SEC enforcement, Mr. Winer has been rated by Chambers as one of the top securities regulation attorneys in the nation for 2009-2023.  Prior to private practice, Mr. Winer served for several years on the Staff of the SEC Division of Enforcement. Mr. Winer graduated from Boston University School of Law where he served as an editor on the Law Review. He served for one year as law clerk for the Honorable Thomas H. Roberts, Chief Justice of the Supreme Court of Rhode Island.
